Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of AnchorShell websites, hosted services, APIs, applications, and related services (collectively, the "Services").

By creating an account, accessing the Services, or using the Services, you agree to these Terms.

If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" includes that entity.

If you do not agree to these Terms, do not use the Services.

2. Eligibility

You must be legally able to enter into this agreement.

If you use AnchorShell on behalf of an organization, you are responsible for ensuring that your use and the use of your organization comply with these Terms.

3. AnchorShell Services

AnchorShell provides software and hosted services for managing, routing, observing, and controlling requests to AI models and model providers.

Features may include:

• Model and provider routing
• Queueing and request pacing
• Groups and Smart Groups
• Guardrails
• Usage and cost tracking
• Logs and realtime activity
• API keys
• Teams and permissions
• Limits and budgets
• Billing and subscription management
• Provider connections
• Other features made available through the Services

Available features depend on your plan, configuration, and service availability.

4. Self-Hosted AnchorShell Relay

AnchorShell Relay Community Edition is distributed separately under the AnchorShell Relay Community License included with that software.

These Terms do not replace or expand the rights granted under that license.

Your use, copying, modification, or distribution of AnchorShell Relay Community Edition is governed by the license distributed with the software.

These Terms apply when you separately use AnchorShell-operated websites, hosted services, accounts, APIs, or other Services.

5. Accounts

You are responsible for:

• Providing accurate account information
• Keeping your account credentials secure
• Keeping API keys and access tokens secure
• Maintaining appropriate access controls
• Activity performed through your account or credentials
• Promptly revoking credentials that may have been compromised

You may not share credentials in a manner that bypasses plan limits, permissions, or other access controls.

You must notify AnchorShell if you believe your account or credentials have been compromised.

6. Organizations and teams

An organization may have one or more users with different permissions.

Organization owners and administrators may be able to:

• Invite or remove users
• Manage permissions
• Manage API keys
• Manage providers and routing
• View usage and logs
• Set limits and budgets
• Manage billing
• Access other organization-level settings

If you join an organization, its administrators may control your access to that organization's resources.

You are responsible for ensuring that you have appropriate authority to invite users and manage information associated with your organization.

7. API keys

AnchorShell may allow you to create API keys or other credentials for programmatic access.

You are responsible for:

• Protecting those credentials
• Assigning appropriate permissions
• Revoking credentials that are no longer needed
• Monitoring their use

You may not attempt to bypass limits, permissions, billing controls, or other restrictions through API keys, multiple accounts, automation, or other methods.

8. Your content and data

You retain your rights in information, prompts, files, configurations, requests, responses, and other content that you submit to the Services ("Customer Content").

You grant AnchorShell a limited, non-exclusive right to process Customer Content only as reasonably necessary to:

• Provide the Services
• Route and complete requests
• Maintain and secure the Services
• Prevent fraud and abuse
• Provide support
• Comply with applicable law

AnchorShell does not acquire ownership of your Customer Content.

AnchorShell does not use customer prompts or model responses to train models unless you explicitly agree to that use.

You are responsible for ensuring that you have the rights and permissions necessary to submit Customer Content to the Services.

9. Model providers and third-party services

AnchorShell Relay may route requests to third-party model providers or other services that you select, configure, or authorize.

Examples may include model providers, cloud platforms, local inference services, and connected provider accounts.

When a request is sent to a third-party provider:

• That provider may process the request and response
• The provider's terms and privacy practices may apply
• The provider may impose its own pricing, limits, retention rules, or usage restrictions
• Availability and model behavior are controlled in part by that provider

You are responsible for choosing providers appropriate for your use case and data.

AnchorShell is not responsible for the availability, accuracy, pricing, policies, or conduct of third-party providers.

10. AI outputs

AI-generated outputs may be inaccurate, incomplete, outdated, or inappropriate for your intended use.

You are responsible for evaluating outputs before relying on them.

You must not rely on AnchorShell or third-party AI outputs as a substitute for professional judgment where independent review is appropriate.

AnchorShell does not control the underlying models provided by third parties.

11. Acceptable use

You may not use the Services to:

• Violate applicable law
• Violate the rights of others
• Access systems or information without authorization
• Distribute malware or malicious code
• Conduct phishing, fraud, or deceptive activity
• Interfere with or disrupt the Services
• Attempt to bypass authentication or security controls
• Probe or exploit vulnerabilities without authorization
• Circumvent rate limits, usage limits, billing controls, or permissions
• Use multiple accounts or identities to avoid service restrictions
• Abuse, overload, or intentionally degrade AnchorShell infrastructure
• Use the Services in a manner that creates unreasonable security or operational risk

You may use the documented APIs and normal automation features provided by AnchorShell.

Reasonable testing, development, and automation through supported interfaces are permitted.

12. Security testing

You may not perform destructive security testing against AnchorShell-operated infrastructure without written permission.

If you discover a security issue, please report it responsibly through the security contact or process published by AnchorShell.

Good-faith security research that follows a published AnchorShell vulnerability-disclosure policy, if available, is governed by that policy.

13. Plans and usage limits

AnchorShell may offer:

• Free plans
• Paid plans
• Usage-based services
• Promotional plans
• Trials
• Enterprise agreements

Plans may include limits on features, usage, users, API requests, tokens, providers, storage, or other resources.

You may not circumvent these limits.

AnchorShell may change free-plan limits or available free features over time.

We will not retroactively charge you for previously free usage without your agreement.

14. Paid subscriptions

If you purchase a paid subscription, you agree to pay the fees shown when you subscribe.

Unless otherwise stated:

• Subscriptions renew automatically for the selected billing period
• Monthly subscriptions renew monthly
• Annual subscriptions renew annually
• You may cancel before the next renewal
• Cancellation normally takes effect at the end of the current paid billing period

Applicable taxes may be added where required.

Except where required by law or expressly stated otherwise, fees already paid are non-refundable.

Any promotional pricing applies only under the conditions shown when the promotion is offered.

After a promotional period ends, the subscription may renew at the then-applicable standard price disclosed to you.

15. Billing providers

Payments may be processed by a third-party payment provider.

Your payment provider may maintain your payment-card information and process transactions according to its own terms and privacy practices.

AnchorShell may receive information such as:

• Subscription status
• Payment status
• Billing details
• Transaction identifiers
• Limited payment-method information

16. Enterprise agreements

Enterprise customers may enter into an order form, service agreement, data processing agreement, security agreement, service-level agreement, or other written agreement with AnchorShell.

If a signed written agreement conflicts with these Terms, the signed agreement controls to the extent of that conflict.

Enterprise features, commitments, support terms, compliance requirements, and service levels apply only when expressly included in the applicable agreement.

17. Free and beta services

Some Services may be provided free of charge, as a preview, or as a beta.

Free, preview, and beta features may:

• Change
• Have different limits
• Be unavailable temporarily
• Contain errors
• Be discontinued

Unless we expressly agree otherwise in writing, free, preview, and beta Services do not include a service-level commitment.

18. Service availability

We work to keep the Services available and reliable, but we do not guarantee uninterrupted operation.

The Services may be unavailable because of:

• Maintenance
• Software errors
• Infrastructure failures
• Provider outages
• Network failures
• Security incidents
• Events outside our reasonable control

Unless a separate written agreement provides otherwise, AnchorShell does not guarantee any specific uptime or service level.

19. Changes to the Services

AnchorShell may add, remove, modify, or replace features.

We may also change technical requirements, APIs, limits, or supported integrations.

Where practical, we will try to provide reasonable notice of material changes that may significantly affect paid users.

Nothing in this section overrides commitments made in a separate written Enterprise agreement.

20. Suspension

AnchorShell may restrict or suspend access to the Services when reasonably necessary to:

• Protect the security or integrity of the Services
• Prevent fraud or abuse
• Address a violation of these Terms
• Prevent harm to AnchorShell, users, providers, or third parties
• Comply with law
• Address overdue payment
• Respond to a security emergency

Where reasonable, we will try to provide notice and an opportunity to correct the issue before suspension.

Immediate action may be taken when necessary to prevent security risks, abuse, or harm.

21. Termination

You may stop using AnchorShell at any time.

You may cancel paid subscriptions using the available account or billing controls.

AnchorShell may terminate your access if:

• You materially violate these Terms
• You repeatedly violate applicable policies
• Your use creates material security or legal risk
• You fail to pay amounts that are due
• We are required to do so by law

Termination does not eliminate payment obligations or other obligations that arose before termination.

Sections that by their nature should continue after termination will survive.

22. Data after termination

Following account closure or termination, AnchorShell may delete Customer Content after a reasonable period, subject to:

• Applicable law
• Security requirements
• Fraud and abuse prevention
• Billing and accounting requirements
• Contractual obligations
• Backup retention
• Any separate written agreement

You should export information you need before closing your account where export functionality is available.

23. Intellectual property

AnchorShell and its licensors own all rights in the hosted Services, website, branding, designs, documentation, software, graphics, and related materials except for:

• Customer Content
• Third-party materials
• Software separately distributed under another license

These Terms do not grant you ownership of AnchorShell technology or branding.

The names AnchorShell and AnchorShell Relay, associated logos, and related branding may not be used in a way that implies sponsorship or endorsement without permission.

24. Feedback

If you voluntarily provide ideas, suggestions, or feedback about AnchorShell, you grant AnchorShell permission to use that feedback without restriction or obligation to you.

This does not transfer ownership of your other Customer Content.

25. Third-party software and content

The Services may include or interact with third-party software, libraries, APIs, models, services, websites, or content.

Third-party components may be governed by separate licenses and terms.

AnchorShell is not responsible for third-party products or services that we do not control.

26. Confidential or sensitive information

Do not submit information that you are not authorized to provide.

You are responsible for determining whether the Services, your selected plan, and your selected model providers are appropriate for sensitive, regulated, confidential, or restricted information.

Additional contractual terms may be required for particular regulated or enterprise use cases.

27. Disclaimers

Except where expressly provided in a separate written agreement, the Services are provided "as is" and "as available."

To the maximum extent permitted by law, AnchorShell disclaims all warranties, express or implied, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Availability
• Accuracy
• Security

AnchorShell does not guarantee that:

• The Services will always be available
• The Services will be error-free
• All defects will be corrected
• Model providers will remain available
• AI outputs will be accurate
• The Services will meet every particular requirement

28. Limitation of liability

To the maximum extent permitted by law, AnchorShell and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for:

• Indirect damages
• Incidental damages
• Special damages
• Consequential damages
• Exemplary or punitive damages
• Lost profits
• Lost revenue
• Lost business opportunities
• Loss of goodwill
• Loss or corruption of data

arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, AnchorShell's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:

1. The amount you paid AnchorShell for the Services during the twelve months before the event giving rise to the claim; or
2. US$100 if you paid nothing.

Nothing in these Terms excludes liability that cannot legally be excluded.

29. Indemnification

To the extent permitted by law, you agree to defend and indemnify AnchorShell against third-party claims, damages, liabilities, and reasonable costs arising from:

• Your Customer Content
• Your unlawful use of the Services
• Your material violation of these Terms
• Your infringement or violation of another person's rights

This section does not require you to indemnify AnchorShell for claims caused by AnchorShell's own unlawful conduct.

30. Privacy

AnchorShell's collection and handling of personal information is described in the AnchorShell Privacy Policy.

The Privacy Policy forms part of the terms governing your use of the Services.

31. Changes to these Terms

We may update these Terms as our Services or legal requirements change.

The updated date at the top of these Terms will show when the latest version became effective.

If we make a material change that significantly affects your rights or obligations, we may provide additional notice where appropriate.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, except where applicable law requires another form of consent.

32. Assignment

You may not assign or transfer these Terms without AnchorShell's written consent, except as part of a permitted transfer of your entire business or substantially all related assets.

AnchorShell may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of all or part of its business.

33. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

34. No waiver

If AnchorShell does not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.

35. Entire agreement

These Terms, the Privacy Policy, any applicable plan terms, and any separate written agreement between you and AnchorShell form the agreement governing your use of the Services.

If a signed written agreement conflicts with these Terms, the signed written agreement controls to the extent of the conflict.
